The number of design or development revisions included in a project will depend on the agreed package or proposal.

A revision means a reasonable modification to the previously agreed design or functionality.

A completely new concept, redesign, change of project direction or significant change in requirements may be considered additional work.

8. Payments

Payment terms will be communicated before or during project commencement.

Depending on the project, Global Udyora may require:

  • An advance payment before work begins
  • Milestone payments
  • Final payment before project delivery or deployment
  • Recurring payments for ongoing services

Unless otherwise agreed in writing, work may be paused if required payments are overdue.

Payments already made may not be refundable where work has already been performed, resources have been allocated or third-party costs have been incurred, subject to applicable law and the specific agreement between Global Udyora and the client.

9. Additional Services

Requests outside the agreed project scope may require additional fees.

Additional services may include:

  • New pages
  • New features

  • Additional revisions
  • Content writing
  • SEO work
  • Marketing campaigns
  • Maintenance

10. Domain, Hosting & Third-Party Services

Some projects may require third-party services such as domain registrars, hosting providers, payment gateways, Google services, Meta services, analytics platforms, APIs, plugins, themes, SaaS platforms or other external software.

Third-party services may have their own fees, policies, limitations, outages or technical restrictions.

Global Udyora is not responsible for interruptions, changes, suspension, pricing changes or failures caused by third-party providers.

Where applicable, third-party subscription or renewal charges are the responsibility of the client unless otherwise agreed.

11. Digital Marketing & Advertising

For digital marketing, SEO, Meta Ads, Google Ads or other advertising services, Global Udyora does not guarantee specific business results, sales, leads, rankings, impressions, conversions or advertising performance.

Marketing performance may depend on factors outside our control, including:

  • Advertising platform algorithms
  • Competition
  • Market conditions
  • Budget
  • Target audience
  • Product or service demand
  • Website performance
  • Client response time
  • Platform policies
  • Account restrictions
  • Changes made by advertising platforms

Advertising budgets paid to third-party platforms are separate from Global Udyora's service fees unless specifically stated otherwise.

12. Intellectual Property

Unless otherwise agreed in writing, Global Udyora retains ownership of its pre-existing code, frameworks, templates, components, design systems, processes, tools, methods, libraries and reusable resources.

Upon receipt of full payment, the client may receive rights to use the final project deliverables created specifically for the client, subject to the agreed project terms.

Third-party assets, fonts, plugins, libraries, stock images, software and other licensed materials remain subject to their respective licenses.

13. Client-Provided Materials

The client represents that they have the necessary rights and permissions to provide any content, images, logos, videos, text, trademarks or other materials supplied to Global Udyora.

The client is responsible for ensuring that such materials do not infringe the intellectual property, privacy, publicity or other rights of third parties.

14. Portfolio & Promotional Use

Unless otherwise agreed in writing, Global Udyora may display completed work, screenshots, designs or project descriptions in its portfolio, website, social media, presentations or marketing materials.

If a client requires confidentiality or does not want their project used for promotional purposes, this should be agreed in writing before or during the project.

15. Website Maintenance & Support

Website maintenance and technical support are provided only when included in the purchased package or separately agreed upon.

Maintenance may include updates, troubleshooting, minor changes, security checks, backups or other agreed services.

Support does not automatically include major redesigns, new features, extensive development work or third-party platform issues unless specifically included.

16. Project Delivery & Approval

A project may be considered approved when the client:

  • Provides written approval;
  • Uses the delivered website or design publicly;
  • Requests final deployment; or
  • Confirms completion through email or another agreed communication channel.

Once a project has been approved, major changes may be treated as additional work.

17. Cancellation & Termination

Either party may request termination of an ongoing project or service arrangement subject to the applicable agreement.

If a client cancels a project after work has started, charges may apply for:

  • Work already completed
  • Resources already allocated
  • Third-party expenses
  • Non-refundable services
  • Approved milestones
  • Other committed project costs

Global Udyora may suspend or terminate services if the client:

  • Fails to make required payments;
  • Provides misleading or unlawful information;
  • Requests unlawful activities;
  • Repeatedly violates agreed project terms;
  • Abuses staff or service providers; or
  • Uses the service in a manner that creates legal or security risks.

18. Refund Policy

Refund eligibility depends on the nature of the service, work already completed, third-party expenses and the applicable project agreement.

Because many of our services involve time, development work, design work, advertising management or other customized deliverables, fees for completed work may generally not be refundable.

Any specific refund terms agreed with a client in writing will take precedence over this general provision, subject to applicable law.

19. Confidentiality

Global Udyora will make reasonable efforts to keep confidential business and project information shared by clients for the purpose of providing services.

Confidentiality obligations do not apply to information that:

  • Is publicly available;
  • Was already known to us lawfully;
  • Becomes publicly available without our breach;
  • Is independently developed; or
  • Must be disclosed under applicable law or legal process.

20. Security

We take reasonable measures to protect systems and information under our control.

However, no internet-based service or digital system can be guaranteed to be completely secure.

Clients are responsible for maintaining appropriate security of their own accounts, passwords, devices, hosting accounts and third-party services.

21. Service Availability

We aim to provide reliable services, but we do not guarantee uninterrupted or error-free operation of our website or services.

Availability may be affected by:

  • Internet connectivity
  • Server outages
  • Software failures
  • Third-party services
  • Maintenance
  • Security incidents
  • Force majeure events
  • Other circumstances beyond our reasonable control

Business and marketing results depend on many factors beyond our control.

This may include loss of:

  • Profits
  • Revenue
  • Business opportunities

  • Business reputation

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

You agree to indemnify and hold Global Udyora, its personnel, contractors and service providers harmless from claims, losses, liabilities, damages, costs or expenses arising from:

  • Your unlawful use of our services;
  • Your violation of these Terms;
  • Your infringement of third-party rights;

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to remain in effect to the extent permitted by applicable law.

28. Entire Agreement

These Terms, together with any applicable quotation, proposal, invoice, service agreement or written project scope, constitute the understanding between Global Udyora and the client regarding the relevant services.

If there is a conflict between these Terms and a specific written agreement, the specific written agreement may take precedence for that particular project or service.
